Our office strives to be flexible and sensitive to the needs of our Nonprofit clients. We offer a free consultation for all new nonprofits, and payment plans can be negotiated for all services.

New Nonprofit Formation-This comprehensive package of services includes everything needed to successfully start a new nonprofit corporation. We guarantee that all of our work complies with all state and federal laws. Advice and training seminars from our attorney will ensure that the organization is legally prepared for common pitfalls faced by newly formed groups. Our package of services includes the following:
• preparing and filing your Articles of Incorporation and EIN application,
• preparing Corporate Minutes Books,
• providing Board Development Materials,
• drafting Bylaws, Conflict of Interest Policy, Document Retention and Destruction Policy, Whistleblower and Non-retaliation Policy,
• Policy Manual,
• conducting your Organizational Meeting,
• preparation of Organizational Meeting Minutes,
• registration with Oregon Department of Justice,
• two Board and Staff Training Seminars,
• the services described in our Federal Tax Exempt Application package,
• and 6 months of legal advice and guidance related to the formation of your nonprofit.
The cost of this package varies based on the complexity of your nonprofits needs.

This comprehensive package of services includes everything needed to successfully gain Tax Exempt Status. This package of services includes preparing and compiling the full application with complete documentation to submit to the Internal Revenue Service, training seminar, provide interim and final donation receipts and direct communication with the Internal Revenue Service if the reviewing agent has questions or needs additional information.

The Board Training Seminar is included in the New Nonprofit Formation Package, but may also be purchased separately. Our seminar covers a variety of important topics and is designed to educate the organization about the proper management of a nonprofit corporation, to alert it to a variety of potential legal problems or traps that nonprofit groups commonly face, and to answer questions about any and all aspects of operating and managing a nonprofit corporation. We custom tailor this session to meet the needs of the organization and its Board of Directors.
The Tax Exempt Seminar is included in the Tax-Exempt Package, but may also be purchased separately. This custom-tailored seminar covers topics regarding how to legally and properly manage a tax-exempt nonprofit organization, including handling Conflicts of Interest and IRS Guidelines, record keeping requirements for tax-exempt donations, unrelated business income, foreign activities, professional fundraising, improper private benefit, and more.

All of our services are offered individually at an hourly rate, including the review and update of Articles, Bylaws, Policies, Contracts, Fiscal Sponsorship Agreements, reinstatement applications to the IRS, and other documents. We also provide legal advice on related issues such as employment, Board controversies, harassment, etc.

As an organization’s Registered Agent, our staff is available to answer questions about the corporation’s tax status, reporting requirements, bookkeeping procedures and other issues. We will facilitate the submission of the Annual Report with the Oregon Corporation Division. As Registered Agent, we will accept service of all legal notices, lawsuits and other legal documents relevant to the corporation and make sure all documents are handled properly. As part of these services, we regularly update and review corporate files, track and process the Oregon Corporation Division Annual Report, perform an annual status check to confirm filing of the required annual reports, and write letters or contact your organization by phone to remind you of the of the reporting requirements and deadlines for required state and federal annual reports.

Up-to-date and legally compliant Bylaws are fundamental to the effective operations of a nonprofit organization. Our Bylaws package includes initial meeting to discuss provisions of the bylaws, preparation of draft bylaws, answer subsequent questions regarding bylaw provisions, and make final edits to bylaws to prepare for Board adoption. We are also available to review existing and new bylaws or bylaw changes at our regular hourly fee.
